SeatShareLK is an online marketplace and ride-sharing coordination platform that enables independent users to connect and arrange genuine cost-sharing journeys within Sri Lanka.

By creating an account or using SeatShareLK, you agree to these Terms & Conditions.

1. Platform Role

SeatShareLK provides an online marketplace that helps independent drivers and passengers connect and arrange cost-sharing journeys.

SeatShareLK is not a transportation provider, taxi service, travel agency, vehicle operator, carrier, or employer of drivers.

Drivers and passengers act independently and solely on their own behalf. No employment, agency, partnership, joint venture, or similar relationship exists between SeatShareLK and any user.

SeatShareLK does not:

• own, lease, or operate vehicles
• employ or manage drivers
• provide transportation services
• guarantee that any ride will be available or completed
• guarantee the safety, suitability, legality, quality, timing, or outcome of any journey

SeatShareLK only provides the marketplace, communication, booking, matching, and ride-coordination tools through which independent users may make their own arrangements.

Any ride, booking, cost-sharing arrangement, agreement, representation, promise, or transaction made between users is an arrangement between those users. SeatShareLK is not a party to the journey or the agreement between them.

Drivers and passengers are solely responsible for their own decisions, conduct, travel arrangements, compliance with applicable laws, and all activities before, during, and after a journey.

2. Eligibility

Users must be at least 18 years of age to create an account or use SeatShareLK.

By using SeatShareLK, users confirm that they have the legal capacity to enter into these Terms & Conditions and to participate in shared journeys.

Users must provide accurate and truthful information when creating and maintaining their account.

SeatShareLK currently facilitates user matching and ride coordination only.

SeatShareLK is not a payment processor and does not collect, hold, or distribute payments between users unless explicitly stated on the platform.

Drivers and passengers are solely responsible for agreeing on any cost-sharing contribution and payment method before the journey begins.

SeatShareLK is not responsible for:

• fare or cost-sharing disputes
• cash handling
• electronic payment disputes
• overcharging or underpayment
• refunds between users
• failed or delayed payments

Unless explicitly stated on the platform, SeatShareLK does not set, determine, control, recommend, or guarantee journey pricing, cost-sharing contributions, or amounts paid between users.

Where a driver chooses to enable the platform's child contribution option, SeatShareLK may calculate and display a reduced contribution for children under 12 as a booking feature. This is a pricing preference selected by the driver and does not make SeatShareLK the provider or seller of the journey.

Where a passenger makes a permitted price offer and the driver accepts it, the accepted amount becomes the agreed seat contribution between those users. Any applicable child contribution is then calculated from that agreed amount.

6. Cancellations

Drivers and passengers should avoid unreasonable cancellations, particularly shortly before the scheduled departure time.

Users should communicate cancellations as early as reasonably possible.

Repeated cancellations, failure to attend agreed pickup locations, or other behaviour that negatively affects the community may result in warnings, temporary restrictions, suspension, or permanent removal from the platform.

7. User Conduct

Users must use SeatShareLK respectfully, responsibly, and lawfully.

Users must not:

• harass, threaten, intimidate, or abuse other users
• provide false, misleading, or fraudulent information
• impersonate another person or organisation
• create multiple accounts to avoid restrictions or suspension
• share another person's telephone number or identity
• post fraudulent, misleading, or non-existent rides
• misuse ratings, reports, notifications, or platform features
• use the platform for unlawful activities
• attempt to interfere with the security or operation of the platform
• use automated systems, bots, or scripts to access or misuse the platform
• spam, advertise, or solicit users without permission

SeatShareLK reserves the right to investigate reports, complaints, suspected fraud, abusive behaviour, unsafe conduct, or misuse of the platform.

Where necessary to protect users or the integrity of the platform, SeatShareLK may issue warnings, restrict platform features, suspend accounts, or permanently remove users without prior notice.

8. Limitation of Liability

To the maximum extent permitted by applicable law, SeatShareLK provides an online marketplace and ride coordination platform only and shall not be liable for the acts, omissions, conduct, decisions, or negligence of drivers, passengers, or any other users.

Users independently decide whether to offer, request, accept, or participate in any journey. Participation in any journey is entirely voluntary and at the user's own discretion and risk.

SeatShareLK shall not be liable for:

• accidents or collisions
• personal injury or death
• vehicle damage
• loss, theft, or damage to personal belongings
• payment or cost-sharing disputes
• delays, cancellations, missed connections, or route changes
• fraud, misrepresentation, or false information provided by users
• actions or omissions of drivers, passengers, or third parties
• insurance disputes or denied insurance claims
• loss of income, business opportunities, profits, or savings
• indirect, incidental, consequential, special, exemplary, or punitive damages arising from the use of the platform

Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

9. Rides, Requests & Bookings

A ride post, passenger request, match, booking, acceptance, notification, rating, or organization membership does not guarantee that a journey will take place or be completed.

Users are responsible for confirming final pickup and drop-off locations, timing, route, seats, luggage, cost-sharing contribution, payment method, and any other practical arrangements directly with each other.

SeatShareLK may apply operational rules relating to bookings, cancellations, expiry, seat availability, reminders, notifications, and ratings. These rules may be updated from time to time to improve safety, reliability, and platform operation.

Users must not manipulate bookings, seat availability, ride requests, ratings, or platform status information.

10. Bookings Including Children

SeatShareLK is an online marketplace only. Allowing a booking to include a child does not mean that SeatShareLK provides, operates, supervises, endorses, or guarantees child transport, school transport, childcare, child-minding, safeguarding, or an unaccompanied-minor service.

For SeatShareLK booking purposes, a child means a passenger under 12 years of age. A passenger aged 12 or over is treated as an adult for the platform's seat-contribution calculation only. This pricing classification does not mean that SeatShareLK is declaring a person aged 12 or over to be a legal adult.

A child under 12 cannot be booked to travel alone through SeatShareLK. Every booking containing a child under 12 must include at least one accompanying adult aged 18 or over who travels on the same journey.

Each adult and each child occupies one available passenger seat for seat-availability purposes, regardless of the contribution charged for that seat.

Drivers may choose whether to offer the platform's reduced child contribution. Where enabled, a child under 12 is calculated at 50% of the applicable agreed seat contribution. Where it is not enabled, the standard agreed seat contribution applies.

The accompanying adult is solely responsible for the supervision, care, conduct, needs, and welfare of any child included in their booking before, during, and after the journey.

Drivers and accompanying adults are responsible for deciding whether the proposed arrangement, vehicle, seating, restraints, equipment, pickup and drop-off arrangements, and journey are appropriate and comply with applicable law.

SeatShareLK does not provide or guarantee child seats, booster seats, restraints, supervision, school pickup or drop-off, or any other child-specific equipment or service. Users must discuss and arrange any such requirements directly with each other before travelling.

A driver remains free to accept or reject a booking request in accordance with the platform's booking process. A child contribution preference does not create any obligation on a driver to provide childcare, supervision, specialised equipment, or a particular transport service.

Where a school, company, association, or other organization community is used to help users find one another, the organization community remains a marketplace access and coordination feature. Neither organization membership nor an invitation code makes SeatShareLK the transport provider or guarantees the journey, driver, passenger, child supervision, or safety.

11. Safety Features, Live Location & Preferences

SeatShareLK may provide safety-related features or information, including profiles, telephone verification, ratings, completed-trip information, organization membership, reporting tools, and prompts to share live location. These features are intended to support user decision-making but do not guarantee identity, trustworthiness, vehicle condition, driving ability, insurance coverage, or safety.

Where users choose to share live location through WhatsApp or another external service, that sharing occurs between the relevant users through the external service and is subject to that service's own terms and privacy practices. SeatShareLK does not guarantee the availability, accuracy, security, or delivery of externally shared live-location information.

Ride preferences, including women-only driver or passenger preferences, are intended to help users identify arrangements with which they may be comfortable. Such preferences do not constitute verification or a safety guarantee by SeatShareLK.

Users must state and respect applicable ride preferences honestly and must not use any preference to deceive, harass, exploit, or unlawfully discriminate against another person.

12. Organization Communities

SeatShareLK may allow companies, educational institutions, associations, and other approved organizations to create controlled communities for their employees, students, members, volunteers, drivers, or other eligible persons.

Access to an organization community may require an invitation code, member or employee identifier, administrator approval, supporting information, or another verification step selected by SeatShareLK or the organization.

Organization membership does not mean that SeatShareLK or the organization guarantees a member's identity, trustworthiness, conduct, vehicle, documentation, insurance, journey, or safety. Every user remains responsible for making their own travel decisions.

Organization rides and passenger requests may be restricted to approved members of the relevant organization community. Users must not share restricted information or attempt to obtain access to a community for which they are not eligible.

Leaving, suspension, rejection, or removal from an organization community does not automatically close or delete the user's general SeatShareLK account. However, organization-only rides, requests, bookings, content, and features may become unavailable.

SeatShareLK may oversee, investigate, restrict, or intervene in organization-community activity where reasonably necessary for safety, legal compliance, fraud prevention, enforcement of these Terms, or protection of the platform and its users.

13. Organization Administrators

An organization may appoint authorized administrators to manage its SeatShareLK community. Administrators may be permitted to approve, reject, suspend, reactivate, or remove memberships and to view information reasonably necessary to manage participation in that community.

Administrators must be properly authorized by their organization, keep their access credentials secure, and use member information only for legitimate organization-community administration. They must not disclose, export, copy, market to, or otherwise use member information for unrelated or unauthorized purposes.

Organizations are responsible for the accuracy of the information and documents they submit, the conduct of their administrators, and promptly informing SeatShareLK when an administrator's authority changes or ends.

An administrator's approval does not constitute a guarantee or certification by SeatShareLK of a member's identity, conduct, vehicle, documentation, insurance, or suitability.

Additional pilot, subscription, service, branding, confidentiality, data-handling, or commercial terms may be contained in a separate agreement between SeatShareLK and the organization. If there is a conflict concerning organization-specific services, that separate agreement will apply to the extent of the conflict.

14. Ratings, Reviews & User Content

Users are responsible for rides, requests, reviews, ratings, reports, profile information, documents, messages, and other content they submit through SeatShareLK. Content must be accurate, relevant, respectful, lawful, and must not infringe another person's rights.

By submitting content, users grant SeatShareLK a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, process, and use that content only as reasonably necessary to operate, secure, moderate, support, and improve the platform.

SeatShareLK may remove, restrict, or retain content where reasonably necessary to enforce these Terms, investigate a report or dispute, comply with law, protect users, or preserve platform integrity.

Ratings and reviews reflect the opinions of individual users. SeatShareLK does not independently verify or endorse every rating or review.

15. External Services

SeatShareLK may use or link to external services for authentication, maps, email, SMS, push notifications, analytics, hosting, messaging, live-location sharing, and other platform functions.

External services are governed by their own terms and privacy practices. To the maximum extent permitted by law, SeatShareLK is not responsible for the availability, accuracy, security, content, or conduct of an external service.

16. Privacy

SeatShareLK collects and stores information reasonably necessary to operate, maintain, improve, and secure the platform.

This information may include account details, contact information, ride activity, bookings, ratings, reports, telephone verification status, and other information voluntarily provided by users.

SeatShareLK takes reasonable measures to protect user information but cannot guarantee absolute security of electronic systems or communications.

17. Communications

By creating an account or using SeatShareLK, users consent to receive communications relating to the operation of the platform.

These communications may include booking updates, telephone verification messages, account notifications, safety notices, service announcements, platform updates, and other communications reasonably necessary for operating SeatShareLK.

Users may also receive optional communications where they have provided their consent.

18. Intellectual Property

The SeatShareLK name, branding, logos, software, design, text, graphics, and other platform content are owned by or licensed to SeatShareLK and are protected by applicable intellectual property laws.

Users may not copy, reproduce, distribute, modify, reverse engineer, decompile, commercially exploit, or create derivative works from any part of the platform without the prior written permission of SeatShareLK, except where permitted by applicable law.

19. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.

Any dispute arising out of or relating to these Terms & Conditions or the use of SeatShareLK shall be subject to the jurisdiction of the courts of Sri Lanka, unless otherwise required by applicable law.

20. Changes to these Terms

SeatShareLK may modify or update these Terms & Conditions from time to time.

Where appropriate, users may be notified of material changes through the platform or other available communication channels.

Continued use of SeatShareLK after updated Terms & Conditions become effective constitutes acceptance of the revised Terms.

21. Severability

If any provision of these Terms & Conditions is held to be unlawful, invalid, or unenforceable, the remaining provisions shall continue in full force and effect.

22. Entire Agreement

These Terms & Conditions, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between SeatShareLK and its users regarding the use of the platform.
